TERMS OF SERVICE

Introduction

This Site(wubinworks.com and its subdomains) is owned and operated by Wubin Inc.(also known as "Wubinworks"). Wubinworks provides eCommerce focused Service and Software. Service refers to a technical or customized eCommerce solution which involves real human to operate. Software refers to pre-made and released installable package. Both Service and Software may have expire date. This Terms of Service (the "Terms of Service" or "ToS") applies to and governs your use of the Site, Software and Service. Your use of the Service or Software signifies your agreement to be bound by this Terms of Service, the Privacy Policy (the "Privacy Policy"). Any references to "your" or "you" (the "User") mean the person or organization who use our Service or Software.

Wubinworks reserves the right, at its sole discretion, to change, modify, add or remove any portion of the Service, Software, this ToS, and/or the Privacy Policy, in whole or in part, at any time. Changes to these ToS and Privacy Policy will be effective when posted. You agree to review this ToS periodically to be aware of any changes. Your continued use of the Service or Software after any changes made to this ToS will be considered acceptance of those changes and will constitute your agreement to be bound thereby.

Confidentiality

Confidential information includes but not limited to commercially valuable information for both the User and Wubinworks. The User and Wubinworks may disclose confidential information ONLY IF the purpose is to facilitate work under this ToS. Confidential information may be disclosed to third parties with the agreement of the providing side.

No Warranties

The User understands and agrees that any Service or Software provided to them are "as is" and at their sole risk. Wubinworks and its employees, any related parties shall not be liable for any consequential, incidental, indirect, special or punitive damages whatsoever (including, without limitation, damages for loss of profits, loss of use, business interruption, loss of information or data, or pecuniary loss), in connection with or arising out of or related to this ToS and Service or the use or the inability to use.

Responsibility

Wubinworks is not responsible for any kind of non-technical issues occurred in using Service and Software, and reserves the right to refuse solving those issues.

Refund

The Service is not refundable if no refund rules are mentioned in its description.
The User can request a refund for Software only if the following conditions are all met:

  • Within 30 days after purchasing
  • Price is more than 36 USD
  • The User can prove the incorrect functioning of Software or can provide other proper reason
  • The User and third parties did not modify our Software directly or indirectly
  • The User does not misuse our Software
  • The User has removed our Software from their store, servers, computers, etc.
  • The User complies with other terms in this ToS

In addition, the maximum refund amount is the price of the Software. If transaction cost is incurred, that part will be subtracted from the refund amount.

Reservation of Rights

All rights not expressly granted hereunder are reserved to Wubinworks, including but not limited to all rights in Software or other preliminary materials.

Termination

Wubinworks may terminate the use of our Service and Software for any reason in its sole discretion. Any failure to comply with the ToS or to pay outstanding fees within 10 days after receiving a notice from us may result in automatic and immediate termination of Service or the use of Software, in which case the User shall immediately remove the Software, documents and anything related to it from their store, servers, computers, etc.

The User can also write to Wubinworks to formally state their willingness to terminate the Service or Software usage.

The User can only access their data within 30 days after the termination of Service(more details in Security Policy). The User can request a data export within this period. However, not all formats of the data are available. Additional fees may be charged depending on the real processing cost.

Payment

Price and invoice amount do not include the transaction cost. Any transaction cost should be paid by the User.

Other Conditions or Terms in Service and Software

Our Service and Software may have additional conditions, terms and restrictions which are disclosed to the User before their use. In such cases, those conditions, terms and restrictions are treated as a part of this ToS and User must agree to all of them.

If those conditions, terms and restrictions conflict with terms in this ToS, they take precedence over the terms in this ToS.
